Terms of Service

Last updated: 6 November 2026

The German version is binding. Deutsche Fassung (verbindlich)

1. Scope and operator

These terms govern the use of the Clentro client portal operated by:

[Legal name][Street, ZIP City, Germany][contact@example.com]

The portal is for the freelancer's clients. The underlying service contract or quote governs the work itself. These terms govern only the use of the portal. If they conflict with an individual contract, the individual contract prevails.

The portal is intended for business clients (§ 14 BGB) and not for consumers.

2. Access and accounts

Client access is by invitation only. Freelancer accounts require the operator's approval. There is no entitlement to an account.

  • Keep your credentials secret and do not share your account.
  • Provide accurate data and keep it current.
  • Tell us without delay if you suspect misuse of your account.

3. Acceptable use

You must not:

  • upload unlawful content or malware;
  • try to access the data of other clients or areas you are not authorised for;
  • scrape the portal or use it by automated means beyond normal use;
  • overload or disrupt the portal.

4. Content

Uploaded content stays with the uploader. You grant the operator a licence only to host and display it as needed for the project. Rights of the parties in work results follow the service contract.

5. Availability

We aim for reliable operation but do not guarantee uptime. Maintenance and updates can interrupt the portal. We announce planned longer interruptions where possible.

6. Invoices

Invoices are delivered through the portal and by email. By using the portal, you accept electronic invoices, including ZUGFeRD and XRechnung formats. Payment terms are stated on each invoice.

7. AI features

If AI features are offered, they are optional and used only by the freelancer. AI output can be wrong or incomplete and must be checked before it is relied on. The hosted portal currently sends no data to AI services (Privacy Policy, section 6).

8. Suspension and termination

The operator may suspend or revoke access for material breach of these terms or for security reasons. Either side may end use of the portal at any time, without affecting the service contract. On request and before closure, the operator exports your data where legally possible. Statutory retention duties remain.

9. Liability

  • Unlimited liability for intent, gross negligence, injury to life, body or health, and under the Product Liability Act.
  • For slight negligence, liability exists only for breach of essential obligations (Kardinalpflichten), limited to the foreseeable, typical damage.
  • Otherwise, liability for slight negligence is excluded.

This also applies to the personal liability of employees and agents.

10. Changes to these terms

We may change these terms for good reason, for example legal changes or new features. We notify you in writing or by email at least 30 days before the change takes effect. If you do not object within that period, the change applies. We point this out in the notice. If you object, either side may end use of the portal.

11. Governing law and jurisdiction

German law applies. The UN Convention on Contracts for the International Sale of Goods (CISG) is excluded. For merchants (Kaufleute) and legal entities under public law, the place of jurisdiction is the operator's seat.

12. Severability

If a provision is or becomes invalid, the other provisions remain in effect. The invalid provision is replaced by the valid one that comes closest to its purpose.
